Project & Vessel Information
Feasibility Report

Detailed business plan / feasibility report, including:

(a) cost requirement of the proposed project

(b) cashflow projections for the proposed facility/project

(c) management plan (including, technical plan, commercial plan, and crew management plan) cost estimates for insurances, underwriting, legal, accounting and other related services in relation to the financing of the project.

Proposed Vessel Documents

Relevant documentation on proposed asset(s) to be acquired with the CVFF facility (for example, draft memorandum of agreement/charterparty agreement)

Inspection Report

Pre-purchase technical inspection report on the vessel.

Valuation Report

Valuation report on the vessel from a firm on the panel of shipbrokers approved by NIMASA.

Contract Certificate

Details of existing or proposed contract(s) from an international oil company (IOC) or indigenous company for which the vessel would be deployed (that is, the projected market that will be served by each vessel or equipment to be financed with the CVFF loan)

Financial Information
Audited Financial statement

Three (3) years' Audited Financial Statements and most recent Management Accounts.

CAC Filling Evidence

Evidence of up-to-date Annual Returns filings with the CAC.

Bank Statement

Company’s Bank Statement(s) for a period of one (1) year (from the PLI and another major banker of the Company)

Oustanding Liability

Declaration of outstanding liabilities to other banks and financial entities.

Maritime Lien

Declaration of a maritime lien accrued on any of the Company’s vessel(s).

Tax Clearance Certificate

Company’s Tax Clearance Certificates for the last three (3) years.

Proof of Insurance

Evidence that the Company can provide the financing costs – insurances, underwriting, legal, accounting and other related services in relation to the financing of the project.

Asset Statement

Detailed Statement of its encumbered assets (registered or unregistered).

Vessel Fleet Statement

Detailed Statement of the Company’s fleet of vessels (at least for the last five (5) years – this should include (i) verifiable evidence of the ownership or charter of the stated vessels, and (ii) verifiable evidence of Cabotage compliance (registrations, etc) for the said vessels.

Insurer's Statement

Detailed Statement of the Company’s insurers for at least the last five (5) years (H&M, P&I, etc..) – this should include any significant claims on the insurers over the foregoing period.

Affidavit

Affidavit of non-indebtedness to NIMASA.

Proof of Equity Contribution

Evidence that the Company can provide the minimum equity contribution of fifteen percent (15%) of the total project cost.

Corporate & Legal Document(s)
Application Letter

Formal application on the Company’s letter head requesting funding under the CVFF.

Company Profile

Detailed profile of the Company, its shareholders, directors and key management staff.

CAC Certificate

A copy of the Company’s Certificate of Incorporation and certified copies of all other incorporation and constitutional documents duly issued by the Corporate Affairs Commission ("CAC").

Board Resolution

Board Resolution of the Company approving the CVFF loan application and authorising designated signatories.

NIMASA Shipping License

Nigerian Maritime Administration and Safety Agency ("NIMASA") Shipping Company Registration Licence.

NIN Certificate

NIMC issued means of identification for the Company’s directors and shareholders.

BVN

Biometrics Verification Number (BVN) of the directors and shareholders of the Company.

NURPC Permit

Evidence of operational permits and licenses required by the Company to operate – including NUPRC permits,

Security & Structuring Document(s)
Colateral Statement

Detailed analysis and supporting documentation of the proposed security for the CVFF facility.

Technical Agreement

Draft Technical, Management, and/or Special Purpose Vehicle (SPV) Agreements related to the Company and the proposed project (where applicable).

Signed Undertaken

Undertaking to register the CVFF financed vessel under the Nigerian flag

Affidavit

Affidavit of the Company’s directors that they and the Company have not applied twice to the CVFF either via another company related by way of management or ownership.

Affidavit of the Company’s shareholders that they and the Company have not applied twice to the CVFF either via another company related by way of management or ownership.
